Term of Use for the Scheidt & Bachmann entervo infinite Developer Portal

Important Note
Access to this Scheidt & Bachmann entervo infinite Developer Portal (“Portal”) as well as the use of the Portal’s content is only permitted for business purposes and as >such restricted to persons that have legal capacity to enter into the following Agreement on behalf of their employer company (“you”, “your”).

1. Agreement

1.1 These Terms (“Terms”) govern your access to the Portal and use of the of APIs, keys, credentials, sandbox/test environments, sample data, and documentation (together “infinite APIs”) provided by Scheidt & Bachmann Parking Solutions GmbH (“Company”, “we”, “us”, “our”). By accessing the Portal and/or using the infinite APIs, you agree to these Terms and the Data Privacy Terms, linked in the footer of the Portal.

1.2 We may modify these Terms at any time. Material changes will be notified by updating the version and date of the Terms. Continued access and/or use constitutes acceptance of changes.

2. Intellectual Property

All content on the Portal (including but not limited to the infinite APIs, text, documentation, code samples not otherwise licensed, design, logos, trademarks) is owned by or licensed to us and protected by applicable IP laws. No rights are granted except as expressly provided in these Terms.

3. Acceptable Use and Prohibited Conduct

3.1 Access to and use of the Portal, including viewing documentation, and general technical information, is provided free of charge. Portal access does not grant any rights to use the infinite APIs.

3.2 Any use of the infinite APIs — including access to sandbox or test environments, evaluation, testing, development, or operational use — requires a separate valid license granted by us. No rights to use the infinite APIs are granted under these Terms unless such a license is in place.

3.3 You must not (a) copy or modify the infinite APIs or documentation except as permitted; (b) reverse engineer or derive source code from any non-public component; (c) remove or obscure notices; (d) use the infinite APIs to create a competing service or to replicate substantial functionality; (e) exceed rate limits; (f) resell or re-license the infinite APIs except as expressly permitted in writing.

3.4 You must not use the infinite APIs to: (a) violate law; (b) infringe IP or privacy rights; (c) transmit malware or spam; (d) attempt unauthorized access or security testing; (e) collect or process personal data without a lawful basis and required notices; (f) create profiles or make automated decisions with legal or similarly significant effects without required notices and consents; (g) build datasets to train models that replicate the infinite APIs or models (unless we expressly allow it); (h) scrape beyond documented endpoints; (i) misrepresent infinite API responses as your own where attribution is required.

3.5 Where the infinite APIs include open-source components, such components are licensed under their respective licenses; in case of conflict, such licenses govern those components.

4. Accounts, Keys, Security

You are responsible for maintaining the confidentiality of your keys and credentials. Do not share keys publicly or embed them in client-side code. You must promptly notify us of any actual or suspected breach or misuse.

5. Rate Limits, Quotas, and Fair Use

Your use is subject to published rate limits and quotas (if any). Do not exceed them. We may throttle, suspend, or revoke access to protect system stability.

6. Data Use, Personal Data

6.1 You grant us the right to use, reproduce, and process content you submit to the infinite APIs (“Your Data”) solely to provide and improve the infinite APIs and related services, including security, abuse prevention, analytics, and quality enhancement. We do not claim ownership of Your Data.

6.2 If Your Data includes personal data, you are the controller and remain responsible for having a lawful basis, providing required notices, and honoring data subject rights.

7. Suspension and Termination

7.1 We may suspend or terminate access to the Portal at any time for any or no reason. You may terminate by ceasing use and deleting keys. Both events result in the termination of this Agreement. However, provisions that by their nature should survive (e.g., IP rights, disclaimers, liability limits, indemnity, governing law) remain in effect.

7.2 Upon termination of this Agreement, you must delete our confidential information and cease using the infinite APIs.

8. Warranties and Disclaimers

THE infinite APIs ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ACCURACY, COMPLETENESS, OR AVAILABILITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS CAPPED AT EUR 500. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. We may modify or deprecate the infinite APIs. Deprecated endpoints of infinite APIs may stop functioning after the posted deprecation period. Beta features are provided “as is”, may be modified or discontinued at any time, and may be subject to additional terms.

10. Indemnity by You

You will defend, indemnify, and hold harmless the Company and its affiliates, directors, officers, employees, and agents from any claim, loss, liability, damages, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your access to the Portal and/or use of the infinite APIs; (b) your applications, Your Data; (c) your breach of these Terms; (d) your violation of law or third-party rights.

11. Governing Law, Venue

These Terms are governed by the laws of Germany. The courts of Mönchengladbach, Germany shall have exclusive jurisdiction. Conflict-of-law rules do not apply.

12. Export and Sanctions

You represent you are not subject to sanctions and will not use the infinite APIs in violation of any applicable export controls or sanctions.
